Terms of Use ("Terms")

These Terms of Use ("Terms") govern access to and use of services provided by Grable Auction Inc., operating as Zynous ("Zynous", "Company", "we", "us"). By engaging our SaaS services, the client ("Client") agrees to be legally bound by these Terms.

1. Legal Entity and Acceptance

These Terms of Use ("Terms") govern access to and use of services provided by Grable Auction Inc., operating as Zynous ("Zynous", "Company", "we", "us"). By engaging our SaaS services, the client ("Client") agrees to be legally bound by these Terms.

2. Description of Services

Zynous provides SaaS-based social media analytics, reporting, and content processing services through authorized API and partner integrations with supported social media platforms. Services may evolve over time and may be modified, enhanced, or discontinued at our discretion.

3. Eligibility and Authority

Client represents and warrants that:

  • They are legally authorized to grant access to connected social media accounts.
  • They have authority to bind their organization to these Terms.
  • All information provided to Zynous is accurate and complete.

4. Account Authorization and Access

Client grants Zynous permission to access designated social media accounts through official API and partner tools. Client understands that Zynous does not store login credentials and relies on authorized platform access mechanisms. Client may revoke access at any time through the respective platform tools.

5. Ownership of Data

Client retains full ownership of all social media content and analytics data. Zynous acts solely as a service provider and processor of such data. No rights or ownership interests are transferred to Zynous except limited rights necessary to perform services.

6. Intellectual Property

All software, systems, proprietary code, workflows, documentation, branding, and technology developed or used by Zynous remain the exclusive property of Zynous. Client may not copy, reverse engineer, distribute, or create derivative works from Zynous technology without written authorization.

7. Acceptable Use

Client agrees not to:

  • Use the services for unlawful or fraudulent activities.
  • Violate platform terms of service.
  • Attempt to interfere with or disrupt Zynous infrastructure.
  • Misrepresent ownership or authority over connected accounts.

8. Confidentiality

Each party agrees to protect confidential information disclosed in connection with the services. Confidential information shall not be disclosed to third parties except as required by law or necessary to perform services.

9. Service Availability

Zynous provides services on an "as-is" and "as-available" basis. We do not guarantee uninterrupted, error-free, or continuous service. Platform API changes or third-party disruptions may affect service functionality.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Zynous shall not be liable for indirect, incidental, consequential, special, or punitive damages.
  • Total aggregate liability shall not exceed the total fees paid by Client in the preceding twelve (12) months.
  • Zynous is not responsible for losses resulting from platform suspensions, API changes, or third-party service interruptions.

11. Indemnification

Client agrees to indemnify and hold harmless Zynous from claims, damages, liabilities, or expenses arising from:

  • Client's misuse of the services
  • Violation of applicable laws
  • Breach of these Terms
  • Unauthorized grant of account access

12. Termination

Client may terminate services at any time. Zynous may suspend or terminate services if Client breaches these Terms. Upon termination, Client may request deletion of stored data pursuant to the Privacy Policy.

13. Force Majeure

Zynous shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, cyberattacks, internet outages, or third-party service failures.

14. Governing Law and Jurisdiction

These Terms are governed by applicable laws of Canada and applicable federal and state laws of the United States. Any disputes shall be resolved in a competent court within Canada unless otherwise required by applicable U.S. law.

15. Amendments

Zynous may update these Terms periodically. Continued use of services after updates constitutes acceptance of revised Terms.

16. Entire Agreement

These Terms, together with the Privacy Policy and any executed agreements, constitute the entire agreement between the parties regarding the services and supersede prior understandings.
